Qiao VPN Terms of Service
Draft. Not legal advice. Have a licensed attorney in [JURISDICTION / GOVERNING LAW] review and fill every [PLACEHOLDER] before launch.
Effective date: [EFFECTIVE DATE]
These Terms of Service ("Terms") are a legal agreement between you and [COMPANY LEGAL NAME] ("Qiao VPN", "we", "us", or "our") governing your access to and use of the Qiao VPN website, applications, and virtual private network service (the "Service"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. The Service
Qiao VPN is a paid, subscription-based privacy and security tool. It creates an encrypted connection between your device and our servers using strong, modern encryption and our VPN protocols, which helps protect the privacy and security of your internet traffic on the networks you use. The Service is a privacy and security tool. It is not a tool for evading the law, and we make no promise that it will defeat, bypass, or overcome any network operator, internet service provider, government, or filtering or censorship system, or that any particular website or service will be reachable at any given time or place.
3. Accounts, verification, and security
To use the Service you must register with a valid, non-disposable email address and verify it using a one-time passcode. You are responsible for maintaining the confidentiality and security of your account and for all activity that occurs under it. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts that use disposable or temporary email addresses or that we reasonably believe are fraudulent or abusive.
4. Subscriptions, plans, and devices
- Tiers and terms. The Service is offered in subscription tiers (for example, Voyager, which supports 2 devices, and Meridian, which supports 4 devices) and in terms of 1, 3, 6, or 12 months, as described at the point of purchase. The features, device limits, price, and term applicable to your subscription are those presented to you when you buy.
- Device limits. Each tier permits simultaneous use on a set number of devices. We enforce this limit using device identifiers as described in the Privacy Policy. Attempting to circumvent device limits, or sharing, reselling, or redistributing access beyond your plan, is prohibited.
- Free trial. We may offer a limited free trial (for example, a 1-day trial that does not require a credit card and is activated inside the app). Trials are subject to the Refund Policy and to the anti-abuse measures in these Terms. We may limit trials to one per person or device and may withdraw or change trial offers at any time.
- Renewals and pricing. Prices and available plans may change. Any price change will apply to future purchases or renewals, not retroactively to a term you have already paid for. If your subscription is set to renew, the renewal terms and any cancellation method will be disclosed to you at purchase and can be managed as described in the app or on the website.
5. Payments
Payments are processed by our third-party payment aggregator, iDataRiver, and the payment providers it supports (which may include Alipay, WeChat Pay, UnionPay, cards, Google Pay, Apple Pay, and crypto/USDT). By purchasing, you agree to the applicable processor and provider terms. Qiao VPN never receives or stores your full card number, card security code, or full banking credentials. You are responsible for any taxes, fees, or currency-conversion costs imposed by your payment provider. Refunds are governed by our Refund Policy.
6. Acceptable use
You agree to use the Service lawfully and responsibly. You must not, and must not allow anyone else to, use the Service to:
- Engage in, promote, or facilitate any illegal activity, or violate the rights of any person or entity.
- Distribute, access, produce, or store child sexual abuse material (CSAM) or any content that sexually exploits or endangers minors. We report and act on such abuse to the fullest extent required or permitted by applicable law.
- Send spam, phishing, or unsolicited bulk communications, or distribute malware, ransomware, or other malicious code.
- Attempt to gain unauthorized access to, probe, scan, disrupt, overload, or attack any network, system, account, or service, including denial-of-service attacks or port scanning.
- Infringe intellectual property rights or misappropriate trade secrets.
- Harass, threaten, defame, stalk, or harm others, or transmit content that is unlawful, hateful, or abusive.
- Resell, sublicense, or commercially redistribute the Service without our written authorization.
- Circumvent device limits, usage protections, or security measures, or interfere with the proper operation of the Service or other users' use of it.
- Use the Service in any way that could impose an unreasonable or disproportionately large load on our infrastructure.
We may investigate suspected violations and may suspend or terminate access to protect the Service, our users, or third parties. Because we operate a no-logs, RAM-only Service, our enforcement is generally based on account status, abuse signals, and reports rather than on monitoring your traffic, which we do not do.
7. Your responsibility for local laws
Laws governing encryption, VPN use, and online activity differ from country to country and can change. You are solely responsible for knowing and complying with all laws, regulations, and policies that apply to you, including those of the country in which you are located and any network you connect from. You use the Service at your own risk and are solely responsible for how you use it and for the legality of your conduct. Qiao VPN does not encourage or condone any use of the Service that is unlawful where you are, and nothing in these Terms should be read as advice that any particular use is lawful in your location.
8. Third-party services and content
The Service lets you reach third-party websites, applications, and content that we do not control and are not responsible for. Your use of any third-party service is subject to that third party's terms and policies. We do not endorse and are not liable for third-party content.
9. Intellectual property; license
The Service, including our software, apps, website, branding, and content, is owned by [COMPANY LEGAL NAME] or its licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own lawful use during your subscription. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from the Service except to the extent this restriction is prohibited by applicable law. The "Qiao VPN" name and marks may not be used without our permission.
10. Service availability; no guarantees
We work to keep the Service reliable and secure, but we do not guarantee that it will be uninterrupted, error-free, continuously available, or available in any particular location. We do not promise any specific connection speed, throughput, latency, or performance, and actual performance depends on many factors outside our control, including your device, your local network, your internet service provider, server load, and network conditions. We may add, modify, suspend, or discontinue features, servers, or the Service, in whole or in part, at any time, and we may perform maintenance that temporarily limits availability.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, that it will be secure against every threat, that any defects will be corrected, or that the Service or its servers are free of harmful components. No advice or information, whether oral or written, obtained from us creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of liability
To the maximum extent permitted by applicable law, in no event will [COMPANY LEGAL NAME], its owners, directors, employees, affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the amount you actually paid to us for the Service during the [THREE (3)] months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless [COMPANY LEGAL NAME] and its owners, directors, employees, affiliates, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use or misuse of the Service, your violation of these Terms, your violation of any law or the rights of any third party, or content or activity conducted through your account.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required to protect the Service, our users, or third parties, if required by law, or if your payment fails or is reversed. On termination, your license to use the Service ends. Refund eligibility on termination is governed by the Refund Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, provide notice. Your continued use of the Service after the changes take effect means you accept the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
16. Governing law and dispute resolution
These Terms are governed by the laws of [JURISDICTION / GOVERNING LAW], without regard to its conflict-of-laws rules. Subject to any mandatory consumer-protection rights you have in your country of residence, you agree that the courts located in [JURISDICTION / GOVERNING LAW] will have jurisdiction over any dispute arising out of or relating to these Terms or the Service. [OPTIONAL: insert any arbitration clause, class-action waiver, or informal-dispute-resolution step here after legal review.]
17. Severability; entire agreement; waiver; assignment
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
